Paul Sutton
Paul is a partner in the corporate team and is based in our London office.
Expertise
As a corporate finance lawyer, Paul regularly advises clients on cross-border transactions including acquisitions, disposals and group reorganisations. Paul has also structured a wide range of commercial arrangements such as strategic alliances, joint ventures, franchises, partnerships and LLPs.
Paul has particular experience of working in conjunction with other professionals to provide innovative services such as risk management reviews, business-issue focussed due diligence investigations and the implementation of tax-driven reorganisations.
He speaks fluent German and has presented seminars on issues of corporate and commercial law at the University of Zurich, the International Chambers of Commerce in Frankfurt and Stuttgart, and the French-British Chamber of Commerce in London.
Recent Successes:
- Acted for a US investment bank in relation to the restructuring of the regulatory capital of its UK sub-group, involving the contribution of debt assets into a limited partnership structure.
- Advised a multinational hotels group on a £200million refinancing involving the establishment of Jersey subsidiary and the issuance of a programme of Eurobonds.
- Advised a real estate fund on the acquisition of a UK / Jersey group holding a substantial property asset, and on the subsequent restructuring of the target group.
- Advised a European investment bank on commercial contract negotiations and corporate governance issues concerning an employee benefit trust company.
- Acted for a well-known telecoms group on a complex
£4billion reorganisation of certain loan assets and the restructuring of an offshore subsidiary. - Acted for a listed German group in the acquisition of a UK-based foods business from a private equity house, involving complex arrangements for dealing with unexercised share options and deferred consideration.
- Advised the internal audit function of a UK government department on the adequacy of its legal risk management procedures.
