Ross is a senior associate in the corporate team and is based in our Aberdeen office.

Expertise

All aspects of general corporate and corporate finance work, particularly mergers and acquisitions, joint ventures, private equity, and corporate reorganisations including cross border and international work.

Recent Successes:

  • Acted for Seawell Holding UK Limited in connection with it's acquisition of Noble Drilling (U.K.) Limited and the platform drilling business of Noble for $35million plus working capital, including the successful reference of the transaction through the Office of Fair Trading and the "TUPE" transfer of over 450 personnel.

  • Advised the shareholders of Reel Group Limited in the sale of 80% of the company to Global Resources Group Limited and on the subsequent investment arrangements going forward.

  • Acted for the acquiring management and newco in the buy-in, management buy-out of Averon Engineering Limited.

  • Acted for the U.S. based Palace Exploration Company in connection with the sale of Palace Exploration Company (United Kingdom) Limited and their U.K. based subsidiaries to Revus Energy ASA for $258million in February 2008.

  • Acted for Proserv Group AS in relation to their acquisition of G M Engineering Limited.

  • Acted for the University of Aberdeen in the sale of their shareholding in, the former bio-tech spin-out, Haptogen Limited to Wyeth Pharmaceuticals.

  • Acted for the University of Aberdeen in the sale of their shares in Brinker Technology Limited and in relation to their ongoing investment in the company.

  • Acted for Reach Exploration in the simultaneous hive out of various oil & gas interests from Reach Exploration (North Sea) Limited to a newco set up on behalf of the shareholders of Reach and the sale of the entire issued share capital of Reach Exploration (North Sea) Limited to First Oil Expro Limited.

  • Acted for several oil service companies (both private and listed) in respect of international joint ventures concerning operations in the Caspian, Middle East and Asia Pacific regions.

  • Acted for Ability Group ASA, a Norwegian listed oil technology and services group, in the acquisition of Seavation Limited, a global provider of subsea excavation and pipeline trenching services.

  • Acted for the shareholders of Specialised Petroleum Services Group Limited, an international organisation which is one of the world's largest suppliers of pre-completion wellbore cleanup services, in the sale of the company to M-I Drilling Fluids U.K. Limited in a deal worth £90million.

  • Acted for the shareholders of IGL Consultants Limited, a multinational energy consultancy firm, in the sale of the company to Pöyry Energy AG.

  • Part of a team advising management in the $280million MBO of Production Services Network Limited out of Kellogg Brown & Root Limited which was awarded MBO of the year at the Scottish Business Insider Deals and Dealmakers Awards September 2006.

  • Advised M-I Drilling Fluids U.K. Limited in the acquisition of Coral Engineering Limited.

  • Part of a team advising Cal Dive International Inc., a leading marine contractor and operator of offshore oil and gas properties and production facilities in their acquisition of Helix Energy Limited for $31million.

  • Advised Grampian Software Holdings Limited in the disposal of Grampian Software Limited and their open accounts payroll division to Cedar Software Limited and subsequently acted for the shareholders of Grampian in the sale of the company to Trapeze Software UK Limited.

  • Advised the management of Calmatt Holdings Limited in the MBO of Aberdeen Window and Door Systems Limited and then advised the new owner on the subsequent sale of the Group to NorDan UK Limited.

  • Advised several offshore manpower services providers in the UKCS in relation to group structuring and contractual advice in respect of payroll, facilities management and operations.
